Job Overview

Sea Harvest Vacancies is seeking a skilled Legal and Governance Officer to support the Group Company Secretary in ensuring the organization complies with all regulatory and legal requirements, as well as internal policies. The role involves working closely with internal stakeholders to identify and manage regulatory risks while also supporting the contractual and compliance needs of various business units across the Group.

Key Responsibilities

Governance Support

  • Provide assistant company secretarial services and administrative support to the Group Company Secretary.
  • Support governance processes including regulatory compliance, meeting management, and corporate governance activities across the Group.
  • Assist in drafting and reviewing ordinary and special resolutions, preparing meeting minutes, and maintaining the resolution register.
  • Assist with the preparation and coordination of board and committee meetings, including compiling and organizing meeting packs from relevant stakeholders.
  • Support the filing of Annual Returns and manage matters related to the Companies and Intellectual Property Commission (CIPC).

Legal and Compliance Management

  • Assist with the development and implementation of systems and controls to ensure compliance with relevant legislation and regulations affecting the Group.
  • Maintain compliance protocols, regulatory frameworks, and internal policies across the organization.
  • Review critical business policies from a regulatory perspective and recommend improvements where necessary.
  • Assist in implementing and monitoring compliance with applicable legislation.
  • Follow up on regulatory matters and ensure corrective actions are addressed and resolved.
  • Communicate effectively with internal departments to ensure seamless integration of compliance processes and encourage cooperation across teams.
  • Draft and review contracts in accordance with company requirements and applicable legal frameworks.
  • Conduct legal research, prepare compliance reports, and stay updated on laws and regulations relevant to the organization.
  • Support implementation and monitoring of compliance with the Protection of Personal Information Act, Competition Act, and Consumer Protection Act.

Requirements and Qualifications

  • Bachelor of Laws (LLB).
  • Admitted Legal Practitioner.
  • Postgraduate qualification in Compliance is advantageous.
  • 2–3 years of post-admission experience in company secretarial or compliance support roles.
  • Corporate legal advisory experience is advantageous.
