About the Program
The Rand Water Foundation invites applications from qualified individuals for appointment as Independent Non-Executive Directors to its Board for a four-year term from 01 June 2026 to 31 May 2030. Established in 2001 and registered as a Not-For-Profit Company (NPC), the Foundation is wholly owned by Rand Water and is mandated to manage Corporate Social Investment (CSI) resources through community development projects in partnership with donors.
Minimum Requirements
- Recognised tertiary qualification at NQF Level 7 or higher in Non-Profit Sector, ESG, Governance, Engineering, Accounting, Law, Audit, Risk/Compliance, Cyber Security, IT Governance, or related fields
- Desired: NQF Level 9 or equivalent qualification
- At least 5 years’ experience as a non-executive director, preferably in the Water Sector or related sector
- At least 3 years’ experience serving on an Audit Committee or board of an ESG/CSR/NPC entity
- 5–10 years’ Executive or Senior Management experience with board-level engagement
- Project management experience, particularly with large capital or water infrastructure projects
- Knowledge of Board fiduciary duties, PFMA, WSA, King IV Code on Good Corporate Governance, and Companies Act compliance
Added Advantage
- Chartered Director (SA)® or Certified Director® or membership of a relevant professional body
- Understanding of governance compliance requirements for public sector entities, SOEs, and NPCs
- Extensive experience in CSR initiatives, community development projects, and board/committee management
Primary Duties
- Provide independent oversight to ensure the Foundation fulfills its strategic developmental role and contributes to Rand Water’s socio-economic objectives
- Oversee governance and statutory compliance of the Foundation
- Monitor implementation of the Foundation’s strategy, policies, and business model
- Contribute technical and governance expertise to assist the Board in discharging fiduciary responsibilities
- Ensure accountability of Executive Management in achieving the Foundation’s vision and financial sustainability
- Monitor strategic risks and review risk mitigation strategies implemented by Executive Management
- Ensure timely submission of statutory reports to Rand Water and other regulatory bodies
- Attend Board and committee meetings, contributing to strategic discussions and decision-making

- Fiduciary duties of directors under Companies Act, PFMA, King IV, and other applicable legislation
- Corporate governance principles and statutory frameworks for NPCs
- CSR investment strategies and community development initiatives
